1. Agreement to Terms
By accessing or using the website at poisedbooks.com (the “Site”) and any services provided by Poised Books, LLC (“Poised Books,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Site or our Services.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes indicates your acceptance of the modified Terms.
2. Description of Services
Poised Books provides virtual bookkeeping services, including but not limited to:
- Bookkeeping cleanup and catch-up for QuickBooks, Xero, and other accounting platforms
- New business accounting setup and configuration
- Bookkeeping coaching and training
- Fractional controller services
All services are provided on a project basis unless otherwise specified in a separate written agreement. Specific deliverables, timelines, and pricing will be outlined in a proposal or scope of work document provided before engagement begins.
3. Client Responsibilities
When engaging our Services, you agree to:
- Provide accurate and complete information necessary for us to perform the Services, including access to accounting software, bank statements, and other relevant financial documents
- Respond to requests for information and clarification in a timely manner
- Review deliverables within the timeframe specified in your service agreement
- Maintain your own backups of financial data and records
- Ensure that all information provided to us is lawful and does not infringe on any third-party rights
Delays caused by failure to provide requested information or access may result in extended timelines and, in some cases, additional fees as outlined in your service agreement.
4. Payment Terms
Fees for our Services are outlined in your individual proposal or scope of work. Unless otherwise agreed in writing:
- A deposit of 50% of the project fee is due before work begins
- The remaining balance is due upon delivery of completed work
- Invoices are payable within 15 days of the invoice date
- Late payments may incur a fee of 1.5% per month on the outstanding balance
We accept payment via ACH transfer, credit card, and other methods as specified on our invoices. All fees are quoted in US dollars.
5. Scope of Work and Changes
The scope of each engagement is defined in the proposal or scope of work document provided to you. If additional work beyond the original scope is identified during the engagement (for example, additional years of cleanup not originally included, or additional entities), we will notify you and provide a revised quote before proceeding with the additional work.
No additional work will be performed, and no additional charges will be incurred, without your written approval.
6. Confidentiality
We understand the sensitive nature of financial information. We agree to treat all client information as confidential and will not disclose your financial data, business information, or personal information to any third party without your express written consent, except:
- When disclosure is authorized by you (e.g., sharing information with your CPA or tax preparer)
- When required by law, regulation, or legal process
- When necessary to perform the Services using third-party tools and platforms (e.g., cloud accounting software)
7. Limitation of Liability
Our Services are provided on an “as-is” basis. While we strive for accuracy and quality in all our work, Poised Books is not a CPA firm and does not provide tax advice, audit services, or legal counsel.
To the maximum extent permitted by law, Poised Books shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use our Services
- Any errors, inaccuracies, or omissions in the work product delivered
- Any unauthorized access to or use of our servers or any personal or financial information stored therein
- Any decisions made or actions taken based on information provided through our Services
In no event shall our total liability exceed the amount paid by you for the specific Services giving rise to the claim.
8. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of Poised Books, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our express written permission.
Your financial data and records remain your property at all times. We claim no ownership of your financial information.
9. Termination
Either party may terminate an engagement by providing written notice. If you terminate an engagement before completion:
- You are responsible for payment for all work completed up to the date of termination
- Any deposits paid are non-refundable to the extent they cover work already performed
- We will provide you with all work product completed through the termination date
We reserve the right to terminate an engagement if you fail to provide necessary access, information, or payment, or if we determine in our professional judgment that continuing the engagement would be inappropriate.
10. Indemnification
You agree to indemnify and hold harmless Poised Books, LLC, its owner, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our Site or Services, your violation of these Terms, or your violation of any rights of a third party.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy and any individual service agreement or proposal, constitute the entire agreement between you and Poised Books regarding the use of the Site and our Services.
